Independent Organization with Humanitarian Cooperation

The Nepal Blue Cross Humanitarian Foundation (NBCHF) is an independent, non-profit humanitarian organization established and operating under the applicable laws of Nepal. The Foundation possesses its own legal identity, governance structure, Constitution, Memorandum of Association (MOA), Articles of Association (AOA), financial management system, and administrative framework.

While NBCHF works in humanitarian cooperation with the Nepal Blue Cross Society (NBCS) and the International Federation of Blue Cross & Blue Crescent Societies (IFBC), such cooperation is based on mutually agreed humanitarian objectives and does not constitute a legal merger, parent–subsidiary relationship, agency, franchise, ownership, or transfer of legal authority. This is consistent with IFBC's role of supporting cooperation and capacity building among participating organizations rather than replacing their separate legal identities.

Institutional Independence

✅ NBCHF maintains its own independent legal identity.

✅ NBCHF operates under its own Constitution, MOA and AOA.

✅ NBCHF has its own Governing Board and Executive Management.

✅ NBCHF independently manages its finances, assets, liabilities and bank accounts.

✅ NBCHF prepares and maintains its own statutory records, audits and regulatory compliance.

✅ NBCHF independently enters into agreements, partnerships and projects within the scope of applicable laws.

✅ NBCHF independently appoints its officers, employees, volunteers and representatives.

✅ NBCHF is solely responsible for its own decisions, policies and operations.

Nature of Humanitarian Cooperation

Humanitarian cooperation between NBCHF, NBCS, and IFBC may include:

Such cooperation is implemented through mutual consultation, written agreements (where appropriate), and shared humanitarian objectives, while respecting the independence and governance of each participating organization.
